License Agreement

This agreement governs all annual licensing arrangements with CompliCore.tech. Effective Date: January 1, 2025.

By purchasing an annual license and accessing the CompliCore Vault, the licensee agrees to all terms set forth in this agreement. This agreement is binding on the licensee organization and all individuals accessing vault content on behalf of that organization.

1. Grant of License

CompliCore.tech grants the licensee a non-exclusive, non-transferable, limited license to access and use all documents in the CompliCore Vault for unlimited internal organizational use during the license term. This license covers all employees, contractors, and officers of the licensee organization.

2. License Term

The license term is one year from the date of payment. The license renews automatically on an annual basis unless canceled by the licensee at least 30 days before the renewal date. Access to the vault is revoked immediately upon expiration or cancellation of the license.

3. Permitted Uses

The licensee may download, edit, customize, and deploy any vault document for internal organizational purposes. The licensee may use documents across unlimited departments, locations, and employees within the licensed organization. The licensee may adapt documents to meet specific operational or regulatory requirements.

4. Prohibited Uses

The licensee may not redistribute any vault document to third parties outside the licensed organization. The licensee may not resell, sublicense, or offer vault documents as a product or service to others. The licensee may not publish any vault document publicly including on websites, public repositories, or public-facing platforms. The licensee may not grant vault access credentials to individuals outside the licensed organization. One license covers one organization. Subsidiaries or affiliates require separate licenses unless otherwise agreed in writing.

5. Intellectual Property

All documents in the CompliCore Vault remain the intellectual property of CompliCore.tech. This license grants usage rights only. No ownership, copyright, or title to any document is transferred to the licensee. The licensee acknowledges that CompliCore.tech retains all rights not expressly granted.

6. Confidentiality

The licensee agrees to treat vault access credentials as confidential and to take reasonable steps to prevent unauthorized access. The licensee is responsible for all activity conducted through their vault session.

7. No Warranty

CompliCore documents are provided as templates and reference tools. CompliCore.tech makes no representation that any document will satisfy specific legal, regulatory, or compliance requirements in any jurisdiction. The licensee is responsible for reviewing all documents with qualified legal or compliance professionals prior to implementation.

8. Limitation of Liability

To the maximum extent permitted by law, CompliCore.tech shall not be liable for any indirect, incidental, special, or consequential damages arising from use of vault documents. Total liability shall not exceed the license fee paid for the current term.

9. Termination

CompliCore.tech may terminate this license immediately and without refund if the licensee violates any term of this agreement, including but not limited to redistribution, resale, or unauthorized sharing of vault access. Upon termination, the licensee must cease all use of downloaded documents.

10. Governing Law

This agreement is governed by the laws of the United States. Any disputes arising under this agreement shall be resolved in the applicable jurisdiction.

11. Entire Agreement

This License Agreement, together with the Terms of Service at complicore.tech/terms, constitutes the entire agreement between CompliCore.tech and the licensee with respect to vault access and document use.
